Terms of Service
Last updated: October 2, 2026
These Terms are an agreement between you and Planra, postal address available on request at legal@planra.co ("Planra", "we", "us"). They cover your use of the Planra website, apps, API and MCP endpoint (the "Service"). Please read section 19 carefully: unless you opt out or live in the EU or UK, disputes are resolved by individual arbitration.
1. Accepting these Terms
You accept these Terms when you create an account or use the Service. If you use Planra for an organisation, you confirm that you are allowed to accept these Terms for it, and "you" includes that organisation.
You must be at least 18 years old to use Planra. The Service is designed for business and professional use.
2. The Service
Planra is a project-management workspace. It includes projects, boards and tasks, docs and file storage, whiteboards, goals and releases, time tracking, intake forms with simple e-signatures, client portals and share links, automations, integrations with other services, optional AI features and AI agents, and an API and MCP endpoint for external tools.
Features marked as Labs or beta are early versions. They are provided as they are, may change or be withdrawn, and may be switched off by default.
3. Your account and workspaces
- Give accurate information and keep your sign-in details secure. Tell us at once at security@planra.co if you think someone else has accessed your account.
- Each account is for one person. You are responsible for what happens under your account.
- A workspace belongs to its owner. The owner decides who can join, what role they have, and what happens to the workspace's content, including content added by other members.
4. Acceptable use
You must follow our Acceptable Use Policy. In short: do not use Planra for anything illegal, harmful, infringing or deceptive (including phishing through forms or signing links), do not attack or overload the Service, and do not try to get around limits or security.
5. Your content
You keep all rights to the content you and your workspace put into Planra ("Your Content"). You give us a limited, worldwide licence to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, including sending it to the service providers and AI services described in our Privacy Policy. You confirm that you have the rights and permissions needed for Your Content, including any personal data about other people in it.
How we handle personal data is described in the Privacy Policy and, where we process it for your organisation, in our Data Processing Agreement.
6. AI features
AI features are optional; every one has a manual alternative. When you use them, content is sent to an AI provider as described in section 4 of the Privacy Policy. As between you and us, you own the outputs AI features produce for you.
AI output can be wrong. Plans, task suggestions, briefings, diagrams, summaries and agent work may be inaccurate, incomplete or similar to other people's material. Check AI output before you rely on it. It is not legal, financial, tax, medical or other professional advice, and generated names or brand ideas need their own trademark clearance.
7. AI agents
You choose whether to hire agents, what they can do, which model they use, their trust level, their budgets and which actions need approval. Actions an agent takes within the permissions you or your workspace gave it are treated as actions taken on your instructions. Approval gates, budgets and caps are tools to help you stay in control; they reduce risk but do not guarantee that an agent will never make a mistake, so set them to match the risk you are willing to accept.
8. Your own AI provider and connected services
If you connect your own AI provider key (for example OpenAI or Anthropic), or connect services such as Google Workspace, Slack, GitHub, Discord, Linear or Jira, your use of that service is governed by your agreement with its provider, and you are responsible for any charges it makes. We store provider keys encrypted and use them only to make the calls you set up. We are not responsible for third-party services or for changes they make that affect the integration.
9. API and MCP
Keep API keys confidential; anyone with a key can act within its permissions. Calls are subject to rate limits and plan limits, and calls by agent-bound keys count toward that agent's budget. We may revoke or limit a key that is being misused or that puts the Service or other customers at risk, and we will tell you when we do.
10. Public links, portals and forms
Anything you make available through a share link, client portal, published doc, whiteboard share link, intake form or signing link can be seen by anyone who has the link. You are responsible for what you publish and for giving people who fill in your forms any privacy information the law requires. You can revoke links at any time. Public pages show a link for reporting abuse, and we may disable a link that breaks these Terms.
11. E-signatures
Signature fields in Planra forms are a simple electronic-signature tool: the signer types their name and ticks a consent box, and Planra records the time, IP address, browser user agent and a SHA-256 fingerprint of the document, and produces a PDF copy. Planra is not a party to any document signed this way. The workspace that sends the form is responsible for deciding whether an electronic signature is appropriate and legally valid for its document, for meeting consumer-consent rules (such as those in the US ESIGN Act) and for giving signers a paper copy if they ask for one. The tool does not provide qualified or advanced electronic signatures under EU eIDAS rules, and must not be used for documents that the law requires to be signed in another way. E-signature records are kept for the life of the workspace.
12. Plans, credits and payment
- Billing. Paid plans are billed in advance, monthly or yearly, through Clerk Billing; card payments are processed by Stripe. Prices are shown on the pricing page, plus any taxes that apply.
- Automatic renewal. Paid plans renew automatically at the end of each billing period, at the then-current price, until you cancel. You can cancel at any time in Settings → Billing; your plan stays active until the end of the period you have paid for and then moves to the Free plan. Your data stays.
- Price changes. We will tell you at least 30 days before a price change applies to you. It takes effect at your next renewal after that notice, and you can cancel before then.
- AI credits. Each plan includes a monthly allowance of Planra AI credits per account, shared across the workspaces you use. Credits reset each month, do not roll over, have no cash value, cannot be transferred and are not refundable on their own. AI calls made with your own provider key do not use credits.
- Free plan. The Free plan has the limits shown on the pricing page and may change; we will give reasonable notice before reducing it.
- Refunds. Refunds are covered by our Refund Policy, including a 14-day money-back guarantee and the statutory withdrawal right for consumers in the EU and UK.
13. Availability and changes to the Service
We work to keep Planra available but do not promise any particular uptime unless we have agreed a service level with you in writing. AI features depend on outside providers and have daily limits; when a limit is reached or a provider is unavailable, AI features may pause while the rest of the product keeps working. We may change or remove features. If a change materially reduces a paid feature you rely on, we will tell you in advance and you can cancel and receive a refund for the unused part of your current period.
14. Suspension and termination
You can stop using Planra, cancel your plan or delete your account at any time in Settings.
We may suspend or close your account, or disable specific content or links, if you seriously or repeatedly break these Terms or the Acceptable Use Policy, if the law requires it, or if it is needed to protect other people or the Service. Where reasonable we will warn you first and explain why; you can appeal as described in the Acceptable Use Policy. We may also end the Service for you for any other reason by giving at least 30 days' notice, in which case we will refund prepaid fees for the unused period.
After your account is closed by us, you have 30 days to export your data (unless the law prevents it), after which we delete it as described in the Privacy Policy. Sections that by their nature should continue — including 5, 15 to 19 and 21 — survive termination.
15. Our intellectual property
The Service, including its software, design and documentation, belongs to Planra and its licensors. These Terms do not give you any rights to it beyond using the Service as allowed here. If you send us feedback, we may use it without obligation to you.
16. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
If you are a consumer in the EU or UK, you keep the statutory rights you have under your local law, including the right to a service that matches its description and is provided with reasonable care and skill; nothing in these Terms limits them.
17. Limitation of liability
To the extent the law allows, Planra and its officers, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
18. Indemnity
If you use Planra for a business, you will defend and compensate Planra against third-party claims arising from Your Content, your breach of these Terms, or your violation of someone else's rights. This section does not apply to consumers.
19. Disputes
Talk to us first. Before starting a formal dispute, email legal@planra.co and give us 30 days to try to resolve it.
Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
Arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association: under its Consumer Arbitration Rules if you use Planra for personal purposes, and its Commercial Arbitration Rules otherwise. Hearings may take place remotely or in the county where you live. Either party may instead bring an individual claim in small-claims court, or ask a court for an injunction to protect intellectual property.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in a class, consolidated or representative action.
Opting out. You can opt out of arbitration and the class-action waiver by emailing legal@planra.co within 30 days of first accepting these Terms, with your name and account email. Opting out does not affect anything else in these Terms.
EU and UK consumers. If you are a consumer living in the EU or UK, the arbitration and class-action paragraphs above do not apply to you, you can bring proceedings in the courts of the country where you live, and you keep the protection of the mandatory consumer laws of that country. The European Commission's online dispute resolution platform has closed; you can contact your local consumer authority.
20. Changes to these Terms
We may update these Terms. We will post the new version here with a new date and, for changes that materially affect your rights, tell account owners by email or in the app at least 30 days before they take effect. If you do not agree, you can stop using the Service and cancel before the change applies.
21. General
Entire agreement. These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, Data Processing Agreement and DMCA & Copyright Policy, are the whole agreement between you and us about the Service.
Severability and waiver. If part of these Terms cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it.
Assignment. You may not transfer these Terms without our consent. We may transfer them to a company that takes over the Service, and will tell you if we do.
